Joint Venture in Foshan: Equity, Governance and Exit

A Sino-foreign joint venture is a Chinese legal person owned by a foreign and a Chinese investor, usually structured as a limited liability company. It makes sense when the project needs the Chinese partner's licence, channel, land or local operating capability. The registration itself is routine; the difficulty is designing decision rights, profit distribution and exit before signing.

Shareholding and contribution

The percentage matters less than what travels with it: board seats, veto rights, dividend policy and exit pricing. A 50:50 split without a deadlock mechanism is the structure most likely to stall.

Clauses that decide the outcome

The joint venture contract and articles are both a filing document and the basis for future dispute resolution. Have them reviewed against the Company Law and foreign investment rules rather than adapted from a template.

Where joint ventures fail

These are drafting failures, not registration failures. They surface two or three years in, when the cost of fixing them is highest.

Frequently asked questions

Is there a cap on foreign shareholding in a joint venture?
Outside the negative list there is no cap, and the foreign side may hold a majority or all of the equity. Restricted entries set their own limits, sometimes requiring Chinese control. Check the current list version.
Must a joint venture have a board?
A small company may appoint a single executive director instead of a board. Where two investors share control, a board with written voting rules is usually the safer design.
Can one party increase capital unilaterally to dilute the other?
No. Capital increases require a resolution at the agreed threshold, and shareholders normally hold a pre-emptive right to subscribe pro rata. Silence in the articles invites disputes.
How is a joint venture terminated?
By shareholder resolution, then liquidation: creditor notice, asset disposal, tax clearance, deregistration. The articles should set the trigger events and the valuation method for a buyout.
Can a joint venture become a WFOE?
Yes, usually by the Chinese shareholder transferring its equity to the foreign side, followed by change registration, a revised foreign investment information report and FX registration where cross-border payment is involved.
