Offshore Company Registration: Five Jurisdictions Compared

An offshore company is an entity established outside mainland China, used for cross-border trade, brand holding, investment or regional management. The registration itself is quick in every jurisdiction. What differs — and what usually decides the choice — is banking access, annual upkeep and how the entity interacts with mainland compliance.

Choosing on tax rate alone usually produces a structure that cannot open a bank account. Business substance, banking acceptance and upkeep cost matter more than the headline rate.

Banking is the real threshold

Interaction with mainland compliance

Where a mainland company funds an offshore entity, ODI filing and FX registration normally come first. Registering the company abroad and filing later can leave the capital unable to leave China lawfully, and profits unable to return.

The offshore company's tax obligations follow the law of its place of incorporation and are separate from mainland tax obligations. Cross-border structures should be assessed on their specific facts.

Frequently asked questions

Do I need to travel abroad to incorporate?
Most jurisdictions do not require attendance; a registered agent files the documents. Bank account opening may require the director in person or by video, depending on the bank.
Does a Hong Kong company need an audit every year?
A Hong Kong limited company normally prepares audited accounts and files a profits tax return annually. Small companies may qualify for simplified reporting but still prepare financial statements. The audit must be performed by a Hong Kong practising accountant.
Can a BVI company trade in mainland China?
Not directly. A BVI entity is a foreign entity; to operate in China it needs a foreign-invested enterprise or a representative office, registered accordingly.
Is an offshore company taxable in China?
The company is a taxpayer where it is incorporated. However, residence rules, permanent establishment analysis and controlled foreign company rules can affect mainland shareholders, so the structure needs specific assessment.
Can we register the offshore company first and file ODI later?
That creates compliance risk. Mainland capital needs ODI filing and FX registration to leave lawfully; funding without them can block both outbound payment and later repatriation.
