Hong Kong Company Formation, Annual Return and Banking

A Hong Kong limited company is the most common offshore vehicle for mainland businesses: low incorporation threshold, territorial tax, and access to international banking and customers. Incorporation takes days; banking takes longer and is where most applications fail. We handle incorporation, annual returns and the banking preparation file.

Annual obligations

ItemCycleNote
Annual return (NAR1)Within 42 days of the incorporation anniversaryLate filing fees escalate
Business registration renewalAnnually or every three yearsRenew and pay on time
Audit and profits tax returnAnnuallyAudited by a Hong Kong practising accountant

Hong Kong taxes on a territorial source basis: profits arising in Hong Kong are chargeable, and offshore claims require evidence. Nil filing is not appropriate for a company that actually trades.

Why applications are declined

Opening an account is a due diligence exercise, not a formality, and banks re-review afterwards. A coherent business file is more useful than switching banks repeatedly.

Frequently asked questions

What does a Hong Kong company cost?
Government fees (incorporation and business registration), secretary and registered address services, and our fee. Government fees are revised periodically, so we quote at current rates and keep them separate from service fees.
Is an audit required every year?
A Hong Kong limited company normally prepares audited accounts annually and files a profits tax return. Small companies may qualify for simplified reporting, but financial statements are still required.
Can a Hong Kong company operate in mainland China?
Not directly. It is a foreign entity; operating on the mainland requires a foreign-invested enterprise, a representative office, or a compliant licensing or services arrangement.
Can we use an agent's address as the registered address?
Yes, and it is normal practice. Banks may treat a mass-mailing address as a risk factor, so prepare operating evidence as well.
What happens if the annual return is late?
Late filing fees escalate, and prolonged failure can lead to strike-off, with director records affected and bank accounts frozen or closed.
