Representative Office in Foshan: What It Can and Cannot Do

A representative office is a permanent presence of a foreign enterprise in China that may carry out non-profit activities only. It is not a separate legal person and cannot trade. It suits a foreign company that wants a Foshan address, market intelligence and a contact point before committing to a full entity.

The boundary

PermittedNot permitted
Liaison with customers and suppliers, market research, information gatheringSigning sales contracts, collecting payment or service fees
Product display, promotion, technical exchangeIssuing invoices or conducting production and business operations
Assisting the head office's businessOperating independently for profit
Leasing office space, routine administrationActivities requiring a separate licence

If the model requires invoicing and collecting RMB in China, a company — not a representative office — is the correct vehicle. Using an RO to "test" a trading business creates exposure for both the office and its staff.

Establishment requirements

  1. Confirm name, premises and activity wordingThe permitted activity description must stay within non-profit liaison.
  2. Notarise and legalise documentsIncorporation certificate, bank reference, power of attorney.

Maintenance and exit

An RO does not trade, but it still has obligations: annual reports, valid premises, valid residence documents for foreign representatives, and tax filings including nil returns. On termination it must be deregistered, with tax and bank accounts closed properly.

An RO cannot be upgraded into a company. Converting to an operating entity means establishing a WFOE or joint venture, migrating staff and business, and deregistering the RO.

Frequently asked questions

Can a representative office employ Chinese staff?
Yes, with lawful employment and social insurance. Their work must stay within liaison, research and display, and they may not sign operating contracts or collect payment on the office's behalf.
Must the chief representative be a foreign national?
No. A Chinese citizen may hold the position, subject to the filing documents. A foreign chief representative needs a valid work-type residence permit.
Does an RO need audited accounts?
It must keep books and file tax returns. Whether an audit is required depends on the authorities' requirements and the office's funding flows. Nil returns are still required when there is no activity.
Which is cheaper to maintain, an RO or a WFOE?
The RO has a lighter establishment and operating burden but cannot trade. A WFOE can operate fully but needs bookkeeping, audit, social insurance and corporate income tax. Decide on whether you need to invoice and collect payment, not on headline cost.
What happens when the RO's term expires?
Apply for extension before expiry with evidence of continued existence and premises. Continuing to operate after expiry is an overstay and may be penalised.
