Under Article 14 of the Regulations on Administration of Registration of Resident Representative Offices of Foreign Enterprises, an RO is permitted to engage only in the following activities related to the foreign enterprise's business. Any activity beyond this scope is strictly prohibited.
Permitted Activities

Although an RO is non-profit by nature and cannot generate revenue, it is still subject to taxation in China because the tax authorities consider it to have an "economic presence." An RO is taxed through a flat method called the Deemed Profit Method. Under this method, the RO's taxable income is calculated based on its total expenses, not its revenue.
Corporate Income Tax — Deemed Profit Method
- Formula: Taxable income = Total expenses ÷ (1 − deemed profit rate) × deemed profit rate.
- Deemed profit rate — general services: For representative offices engaged in business, legal, tax, accounting, audit, or other consulting services, the deemed profit rate shall not be lower than 15%.
- Deemed profit rate — management services: For representative offices engaged in management services, the deemed profit rate shall not be lower than 30%.
- CIT rate: The standard corporate income tax rate of 25% applies.
- Practical impact: Corporate income tax often represents approximately 8%–12% of the RO's annual expenses for general-service ROs.
- Expenses included: Salaries and benefits (both local and foreign employees), office rent, service fees, administrative expenses, operating costs, representation expenses, audit fees, and utilities.
- Non-deductible items: Fixed asset purchases and decoration expenses must be included in full in the current period. Interest income cannot offset expenses.
Value-Added Tax and Local Surtaxes
- VAT: Since 2016, ROs are subject to VAT on certain administrative activities or expenses. The standard VAT rate for administrative services is 6%. In practice, VAT due is limited because an RO cannot sell goods or services, but VAT filing remains mandatory.
- Local surtaxes: In addition to VAT, the following surtaxes apply: local surtax (1%), education surcharge (3%), and additional local surcharge (2%) — a total of approximately 6% of VAT paid.
Individual Income Tax and Social Insurance
- Chinese employees: ROs must handle Individual Income Tax (IIT) withholding and full social security contributions for Chinese employees.
- Expatriate employees: IIT is mandatory for expatriate employees. Tax-exempt benefits in kind are available until 2027. The obligation to file IIT depends on the duration of stay.
