A Foreign Enterprise Branch (分支机构) is a non-independent legal entity established in China by a foreign company to conduct business within the scope of its parent company's operations. Under the PRC Company Law (2024 Revision), Article 245, a foreign company establishing a branch within China must designate a representative or agent responsible for the branch, and the branch does not have independent legal personality. The parent company bears full liability for the branch's debts and obligations.

Under the Administrative Measures for the Registration of Foreign Enterprises Engaged in Production and Business Activities within China (State Administration for Market Regulation Order No. 31, third revision effective October 23, 2020), foreign enterprises may establish branches to conduct the following activities: onshore and offshore oil and gas exploration, construction and engineering contracting, contracted operation and management of foreign-invested enterprises, foreign bank branches, and other production and business activities permitted by the state. As of 2026, branch offices remain largely reserved for foreign banks, insurance companies, and selected aviation and professional services firms.

A branch office is
not available to most foreign investors. It is restricted to a narrow set of sectors where the parent company already holds the relevant licences or where Chinese law specifically permits a branch structure. For the vast majority of foreign-invested companies, a
WFOE is the appropriate structure; a small number use a
representative office for pre-WFOE liaison. A branch office is available only to a narrow set of sectors — primarily foreign banks and insurance companies.
Eligible Sectors for a Foreign Enterprise Branch
- Foreign banks: Foreign banks may establish branches in China. The branch must be named after the head office, indicate the location, and use the suffix "分行" (Branch). Working capital requirements typically start at RMB 200 million, with sector-specific overlays. Parent bank assets must meet minimum thresholds, and most foreign banks are required to maintain a representative office presence in China for at least two years before upgrading to a branch.
- Insurance companies: Foreign insurance companies may establish branches, subject to sector-specific approval from the National Financial Regulatory Administration (NFRA).
- Aviation: Selected aviation and professional services firms may qualify under specific regulatory approvals.
- Construction and engineering contracting: Foreign enterprises engaged in onshore and offshore oil and gas exploration, or construction and engineering contracting, may register branches to conduct these activities.
- Contracted operation and management: Foreign enterprises contracted to operate and manage foreign-invested enterprises may establish branches for this purpose.
Parent Company Requirements
- Parent company must be legally established and operating: The parent company must provide proof of legal establishment and good standing from its home country.
- Parent company must have operated for a sufficient period: Under the Regulations on Administration of Foreign-Funded Banks (2025 Revision), a foreign bank applying to establish a branch in China must have established a representative office in China for at least two years, or have already established a branch in China.
- Parent company must designate a China representative: Under Article 245 of the PRC Company Law, the foreign company must designate a representative or agent responsible for the branch within China.
- Parent company bears full liability: The branch does not have independent legal personality. The parent company bears full liability for the branch's debts and obligations.

Tax Treatment for Branch Offices
CORPORATE INCOME TAX · VAT · PROFIT REPATRIATION
A foreign enterprise branch in China is subject to Chinese corporate income tax on its taxable income, as it constitutes a "establishment or place of business" in China. The branch is treated as a separate tax-paying entity for Chinese tax purposes, even though it is not a separate legal entity.
Corporate Income Tax
- CIT rate: The standard corporate income tax rate of 25% applies to the branch's taxable income.
- Taxable income calculation: The branch's taxable income is calculated based on its actual revenue and expenses, with adjustments in accordance with the PRC Corporate Income Tax Law and implementing regulations.
- Loss carryforward: Losses incurred by the branch can be carried forward to offset future profits for a period of up to five years.
- Profit repatriation: After-tax profits may be repatriated to the parent company. No additional withholding tax applies to branch profit repatriation (unlike dividends from a WFOE, which are subject to withholding tax).
Value-Added Tax
- VAT registration: The branch must register for VAT and file returns according to its business scope and applicable VAT rates.
- VAT rates: The applicable VAT rate depends on the nature of the goods or services provided by the branch (13%, 9%, or 6%).
Other Taxes
- Stamp duty: The branch is liable for stamp duty on contracts, business account books, and other taxable documents.
- Individual income tax: The branch must withhold IIT on behalf of its employees and make social insurance contributions for Chinese employees.
- Surcharges: Local surtaxes on VAT apply, including local surtax (1%), education surcharge (3%), and additional local surcharge (2%).

2026 Regulatory Updates Foreign Investors Must Know

PRC Company Law (2024 Revision) — Branch Provisions
The 2023 revision of the PRC Company Law, effective July 1, 2024, renumbered and updated the branch provisions. Article 245 now states that a foreign company establishing a branch within China must designate a representative or agent responsible for the branch and must allocate funds commensurate with the branch's business activities. The minimum capital requirements for foreign bank branches are separately regulated by the NFRA. This provision supersedes the former Article 193 of the 2018 revision.
Foshan Address Registration Rules
Effective July 1, 2026, Foshan requires that self-compiled addresses be pre-recorded on the Foshan Self-Compiled Address Management Platform. The platform uses the registered self-compiled standard address data as the matching basis for residence registration. Addresses already registered and verified on the platform allow the applicant to be exempt from submitting residence ownership and use certificates. Cross-Region Mutual Recognition for Foreign Investors
In March 2025, Beijing Fengtai, Hangzhou, and Foshan launched a "Regional Mutual Recognition" pilot allowing foreign investors to reuse their investor qualification verification across all three jurisdictions. The Mutual Recognition Measures took effect on March 5, 2025 and are valid until March 4, 2027. Under the pilot, an investor who has already completed qualification verification in any one of these three locations can present a certified copy of their主体资格文件 from the already-established entity's registration archive and have it accepted in the other two — reducing the processing cycle from 15 days to as little as 1 day. Note: The mutual recognition mechanism does not apply to Foreign Enterprise Permanent Representative Offices.
