The Five-Year Paid-In Capital Rule (Article 47)

Foreign Equity Ratio — No Statutory Minimum
- Historical reference: The former Sino-Foreign Equity Joint Venture Enterprise Law required foreign investment to be no less than 25% of registered capital. This law has been repealed under the Foreign Investment Law, which abolished any minimum shareholding requirement for foreign investors. Foreign and Chinese partners are now free to negotiate their equity split without statutory restrictions, subject only to any equity caps specified in the Negative List.
- Restricted sectors: For sectors on the Negative List with equity caps, the foreign share must not exceed the specified limit. For example, value-added telecom services are generally capped at 50% foreign equity.
- Open sectors: For sectors not on the Negative List, there is no cap on foreign equity — a JV may be structured with any agreed split between the foreign and Chinese partners.

The Five-Year Paid-In Capital Rule

Foshan Address Registration Rules
Effective July 1, 2026, Foshan requires that self-compiled addresses be pre-recorded on the Foshan Self-Compiled Address Management Platform. The platform uses the registered self-compiled standard address data as the matching basis for residence registration. Addresses already registered and verified on the platform allow the applicant to be exempt from submitting residence ownership and use certificates.
